    ITEM 5. OTHER EVENTS.

    On July 19, 2004, Home Solutions of America, Inc. (the Registrant) completed a private placement with two institutional investors (the Investors) whereby the Investors purchased $1,000,000 of Home Solutions' Series B Convertible Preferred Stock, which is convertible into its common stock at a price of $1.50 per share. The net proceeds of such offering will be used for acquisition financing and general working capital needs. The preferred shares issued in this offering were not registered under the Securities Act of 1933, as amended (the Act), and may not be offered for sale or sold absent registration under the Act or an applicable exemption from the registration requirements of the Act.

    The Registrant also entered into a Financial Advisory Agreement with the Investors, and issued the investors an aggregate of 666,667 warrants to purchase the Registrant's common stock at $1.75 per share in connection therewith, pursuant to which the Investors will assist the Registrant with the financing of the RAM Home Warranty acquisition, which is under a Stock Purchase Agreement among the Registrant and the current owners of such companies dated July 1, 2004 (attached hereto as an exhibit), and is subject to certain closing conditions, as previously announced by the Registrant.

    Certain agreements related to the transactions described above are attached hereto as exhibits and incorporated herein by reference.

    What's this? WT investing in microcaps (very long term plays and high risk). This looks more like a favour to me. On another note (not necessarily related to this), kickbacks are a sad but real part of the business. I wonder who makes WT investment decisions?

    The Watchtower has remained very very quiet about the fact that it invests in stocks.

    It is a topic they stay well clear of. They do want anyone to know anything at all about it.

    It gets into how they manage their money, which is to be kept secret! One reason is so that they can keep asking for more of it from the JWs.

    Can you imagine if it became widely known that the WT had MILLIONS invested in stocks? How would people then respond when the Watchtower says it is running sort of funds and needs more contributions?

    Edited to add:
    When the Watchtower answers its own question "How is the Work Financed?" do they mention that besides the contributions they receive, they also receive income from their vast stock portfolio? I don't think so! (If they did, their answer wouldn't read the way they intended)

    i recall a brother in our hall had IBM stocks and was complaining he had to sell them because the elders said we werent supposed to buy stocks because it was like gambling.

    i wonder if thats a policy ? good find voyager.

    Thank you candidlynuts, and everybody. I also found another one that shows that the Watchtower has the same kind of relationship with (Cablevision). I'll post it if I can find out some more about it.

    Well CN, if holding a blue chip stock like IBM is considered gambling by the JWs then what would this Microcap high risk stock that WT has invested in be considered? That is the heighth of hypocracy.
